These Terms of Use ("Terms") govern your access to and use of Cyrenza's public website (the "Site"). The Site is operated by Cyrenza, Inc. ("Cyrenza," "we," "us," or "our"), a Delaware corporation.
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. About the Site
Cyrenza is building a professional work system for commercial real estate firms. The Site provides information about Cyrenza, what we are working on, and how interested people and organizations may contact us.
Cyrenza is still under development. Statements about planned functionality, technical capabilities, product direction, availability, performance, or future services describe our present intentions and goals. They are not a promise that a feature or service will be delivered, or that it will be delivered in any particular form or on any particular date. We may change our plans as the product develops.
These Terms govern the public Site only. They do not grant access to the Cyrenza product and do not govern a pilot, customer deployment, or paid service. Any product access will be governed by separate written terms, such as an order form, master services agreement, product terms, or data processing agreement, as applicable.
2. Eligibility
You must be at least 18 years old and legally capable of entering into these Terms to use the Site. If you use the Site for an organization, you represent that you are authorized to act for that organization in connection with your use of the Site.
3. Permitted use
You may use the Site for lawful informational and business purposes in accordance with these Terms.
You must not:
- use the Site in violation of applicable law or another person's rights;
- interfere with, disrupt, damage, or attempt to gain unauthorized access to the Site or its supporting systems;
- introduce malware, malicious code, or harmful material;
- use automated means to scrape, harvest, or extract Site content or data except as permitted by applicable law or with our written permission;
- misrepresent your identity or affiliation;
- use the Site to send unlawful, deceptive, abusive, or unsolicited communications;
- attempt to test or circumvent security measures without our written authorization; or
- use Cyrenza's name, branding, or content in a way that falsely suggests sponsorship, endorsement, or affiliation.
We may restrict or block access to protect the Site, Cyrenza, our users, or others, or when we reasonably believe these Terms have been violated.
4. Information you send us
If you contact us, you are responsible for the information you choose to send. Do not submit confidential transaction documents, personal financial information, government identification numbers, or other sensitive material through the public Site or ordinary email.
You represent that you have the right to provide any information you submit and that our use of it to respond to you will not violate another person's rights.

5. Feedback
If you voluntarily provide ideas, suggestions, or feedback about Cyrenza, you grant Cyrenza a worldwide, perpetual, irrevocable, royalty-free right to use, modify, and incorporate that feedback for any lawful purpose without payment or attribution. This does not give Cyrenza ownership of your confidential information or intellectual property merely because you contact us.
6. Intellectual property
The Site and its content, including text, graphics, designs, logos, product descriptions, software, and other materials, are owned by or licensed to Cyrenza and are protected by intellectual-property laws.
Subject to these Terms, Cyrenza grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for lawful informational and business purposes. No other right or license is granted.
You may not copy, modify, distribute, sell, license, publicly display, create derivative works from, or commercially exploit Site content without our prior written permission, except where applicable law permits it.
"Cyrenza," Cyrenza's logos, and related names and branding are trademarks or trade dress of Cyrenza. You may not use them without our prior written permission.
7. No professional advice
Site content is provided for general informational purposes. It is not real estate, investment, valuation, financial, legal, tax, accounting, engineering, or other professional advice. It is not an offer, recommendation, or solicitation relating to a transaction or investment.
You should obtain advice from appropriately qualified professionals before acting on matters relevant to you or your organization. Do not rely on Site content as the sole basis for a transaction, valuation, underwriting, diligence, credit, or investment decision.
8. Third-party links and services
The Site may link to websites or services operated by third parties. Cyrenza does not control and is not responsible for third-party content, availability, security, terms, or privacy practices. A link does not imply that Cyrenza endorses or is affiliated with the third party.
9. Privacy and cookies
Our Privacy Policy explains how we handle personal information associated with the Site. Our Cookie Policy explains the technologies used to operate the Site. Please review both policies. They are notices about Cyrenza's practices and do not create contractual rights beyond those provided by applicable law.
10. Site availability and changes
We may modify, suspend, or discontinue any part of the Site at any time. We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free, or that content will always be current or complete.
11. Disclaimers
To the fullest extent permitted by law, the Site and all Site content are provided "as is" and "as available." Cyrenza disclaims all warranties, representations, and conditions, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of liability
To the fullest extent permitted by law, Cyrenza and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, or data, arising out of or related to the Site or these Terms, even if advised that such damages were possible.
To the fullest extent permitted by law, the total aggregate liability of Cyrenza and the other parties listed above for all claims arising out of or related to the Site or these Terms will not exceed 100 United States dollars.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
13. Governing law and courts
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Subject to any rights that cannot lawfully be waived, the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you and Cyrenza consent to personal jurisdiction and venue in those courts.
14. Changes to these Terms
We may update these Terms as the Site and Cyrenza develop. The updated Terms will be posted on the Site with a revised "Last updated" date. Changes apply from the stated effective date. Your continued use of the Site after that date constitutes acceptance of the updated Terms.
Material changes affecting a product account or customer service will not be made solely through these public Site Terms. They will be handled under the applicable customer agreement.
15. General terms
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. Cyrenza may assign these Terms in connection with a reorganization, financing, merger, acquisition, or sale of assets.
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Cyrenza concerning the public Site and supersede prior discussions or communications about use of the Site.
